These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "user"), and Positive Sum LLC, doing business as Velodi ("we," "us," or "our"), concerning your access to and use of the https://velodi.us website as well as any other media form, channel, or application related, linked, or otherwise connected thereto (collectively, the "Services"). By accessing the Services, you agree that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.
Velodi is a business-to-business (B2B) software-as-a-service (SaaS) utility designed to provide real-time vocal pitch visualization, audio analysis, and educational feedback tools for vocal coaches, music educators, and independent musicians.
Educational Use and Prohibited Content:
You agree to use the Services solely for professional vocal coaching, educational analysis, and original musical practice. You are strictly prohibited from uploading, analyzing, storing, or transmitting commercial, copyrighted music (e.g., popular radio tracks, commercial backing tracks, or karaoke files) for which you do not hold the explicit commercial license. The Services may not be used as a "karaoke," entertainment, or commercial playback tool. By uploading any audio data to the Services, you represent and warrant that you own the intellectual property rights to the audio or possess the necessary licenses to use it. Violations of this policy will result in immediate account termination.
To access certain features of the Services, you may be required to register for an account. You agree to keep your password confidential and will be responsible for all use of your account and password.
All purchases and subscriptions are handled by our third-party payment processor, Lemon Squeezy. By initiating a transaction, you agree to the pricing, payment, and billing policies applicable to the fees and charges. We do not store your full credit card information on our servers.
The Services may invite you to upload or process audio files and other content ("Contributions"). You retain full ownership of all your intellectual property rights in your Contributions. We do not claim any ownership rights over your audio data. You grant us a limited, non-exclusive license to host, process, and perform the necessary technical actions upon your Contributions solely to provide the visualization and analysis Services to you. We do not use your personal audio recordings to train our proprietary AI models.
We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes upon any copyright you own or control, please immediately notify our Designated Copyright Agent at [email protected].

In accordance with the Digital Millennium Copyright Act (DMCA), we have adopted a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers.
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR AUDIO ANALYSIS.
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
These Terms and your use of the Services are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding related to the Services shall be brought exclusively in the state or federal courts located in San Francisco, California.
